Go Online — Terms for Businesses
Go Online is operated by SBSUCCESS LTD, a private company limited by shares registered in England and Wales, registered office 128 City Road, London, United Kingdom ("Go Online", "we", "us"). Contact: [email protected].
These terms are a contract between us and the business that opens an account on Go Online in Egypt, including professionals such as doctors and teachers ("Merchant", "you"). They include three annexes, which are part of them: Annex A — Fees and balance, **Annex B — Data processing, Annex C — Content licence and takedown**. Section 8 of our Terms for Customers ("Acceptable use and prohibited items") also applies to you as part of these terms. Our Privacy Policy and Cookies Policy explain how we handle data. If these terms and an annex conflict, the annex wins on its subject.
1. What Go Online is — and what it is not
1.1 Go Online is a software platform. It gives you a website and an installable app for your business, a dashboard, a place in the Go Online directory, and tools to receive orders, bookings, enrolments and quote requests ("Requests") from customers ("Shoppers").
1.2 **Go Online is not the seller, provider, pharmacist, doctor, teacher, carrier or agent of the Merchant or of the Shopper.** Every sale, booking, enrolment or service is a contract directly between the Merchant and the Shopper. We are not a party to it, we never own the goods, and we do not supervise how you perform it.
1.3 Go Online does not receive, hold, transfer or refund any money paid for Requests. Shoppers pay you directly — in cash on delivery, at pickup or at the visit. If online payment for Requests is ever added, we will update these terms, with notice, before it is switched on.
1.4 You alone decide what you offer, at what price, on what conditions, and whether to accept a Request.
2. Your account
2.1 To open an account you must be at least 21 years old, have authority to bind the business, and give true, complete and current information about yourself and the business. You keep it up to date. Staff you invite to your dashboard must be at least 18 years old.
2.2 You keep your password secret and secure, and you tell us at once at [email protected] if you think someone else has accessed your account. You are responsible for everything done through your account, including by staff you invite.
2.3 We may ask for documents that show who you are, that the business exists, and that it holds the licences its trade needs (for example a pharmacy licence or a syndicate registration). We may pause new Requests until we receive them.
2.4 You may not sell or transfer your account without our written agreement.
2.5 Staff accounts. Staff you invite use the dashboard on your behalf. When they first sign in, each staff member confirms they are at least 18 and accepts the parts of these terms that apply to staff accounts: keeping their password secret (section 2.2); never asking for, publishing or sending prescriptions or medical records (section 4.6); using customers' details only to handle the Request they came with, keeping them confidential and never selling or sharing them (Annex B, section B3); the rules in section 8 of our Terms for Customers; and the limits on using the platform in section 8.1. A staff account gives no rights against us beyond those the law gives. You remain responsible for your staff (section 2.2), and you or we may end a staff member's access at any time.
3. Your shop address, name and app
3.1 You choose a handle that makes your shop address (for example yourshop.go-online.store). The handle is a permission to use an address on our domain; it is not your property and gives you no right in our domain.
3.2 Your business name, app name and icon must not copy or imitate another business, brand, public body or person. We may refuse a name, ask you to change it, or change it back.
3.3 Your shop and app show a small Go Online credit line with a link to our website. You may not remove it or present your shop as being run by us.
3.4 If you connect your own domain, you are responsible for owning it and keeping it renewed.
4. Your duties as the seller
You are responsible, alone and in full, for:
4.1 Your offer: that everything you list is lawful to sell or provide, accurately described, available, and shown with the full final price, including any tax and delivery charge you will ask for.
4.2 Your licences and the law of your trade: every licence, permit, registration and professional rule your trade requires (for example pharmacy, medical, food safety, education, tax and commercial rules).
4.3 Consumer law: every duty Egyptian consumer protection law places on a supplier — including the information you must give, an invoice where required, the Shopper's rights to return, exchange or withdraw within the periods the law sets, and repair or refund of defective goods.
4.4 Fulfilment and service: delivery, quality, safety, warranty, after-sale service, complaints and refunds, and the conduct of your staff and couriers.
4.5 Tax on your sales: issuing invoices or receipts to Shoppers and paying every tax on your sales. We do not collect or pay tax on your sales.
4.6 Medicines and health services: prescription-only medicines are never sold through checkout (the platform blocks it; you must not work around it). A Shopper can only send a request; you contact the Shopper, and a licensed pharmacist checks the prescription as the law requires before anything is dispensed. **You must never ask a Shopper to upload or send a prescription, test result, diagnosis or other medical record through Go Online**, and you must never publish one.
4.7 Customer details you receive: using them only as Annex B and the law allow.
4.8 Your content: that you have the rights to everything you upload and that it breaks no one's rights and no law (Annex C).
5. Fees
5.1 Opening a shop is free. You pay a service fee for each Request you accept, up to a monthly cap, from a prepaid balance in Egyptian pounds, as set out in Annex A.
5.2 Prices are shown on our pricing page. We tell you about any price increase by email and on the pricing page **at least 30 days** before it applies. Price decreases can apply at once.
6. Our role, availability and support
6.1 We provide the platform "as is" and "as available". **We do not promise any level of availability, speed or uptime.** We work to keep the service running, but it can be interrupted — for example for maintenance or updates, by failures of our providers (hosting, content delivery, email), by attacks, or by internet or power outages.
6.2 Backups. We back up our database every night and keep the copies for disaster recovery (see the Privacy Policy). If we restore from a backup, anything entered after it may be lost. **Keep your own record of the Requests you accept**; we are not your record keeper for accounting or tax.
6.3 We may change, add or remove features. If we remove a feature you pay for specifically, we tell you in advance and refund the unused part where that is fair.
6.4 Support is by email to [email protected], in Arabic or English, on working days, without a guaranteed response time.
6.5 We may check listings, product texts, names and photos, including with automated tools (for example to spot prescription-only medicines or misleading names). These tools never receive Shopper data. **If we remove a listing or suspend your account, a person reviews the decision if you ask us to** by email.
7. Your content
7.1 You keep ownership of your name, logo, texts and photos ("Your Content"). Annex C sets out the licence you give us to show it, and the wider licence for product photos accepted into our shared catalog.
8. Our rights
8.1 The Go Online name, logo, software, design, templates and documentation belong to us or our licensors. You get a limited, non-exclusive, non-transferable right to use the platform for your business while your account is open. You may not copy, resell, reverse-engineer (except where the law allows it), scrape or overload the platform, or use it to build a competing service.
8.2 We may use ideas and feedback you send us freely, without payment.
9. Suspension and closure
9.1 You may close your account at any time by writing to [email protected] from the email of your account. Requests you have already accepted remain yours to complete or cancel properly.
9.2 Urgent reasons — we may act at once. We may immediately hide a listing, pause new Requests, take your shop offline or suspend your account if we reasonably believe that:
(a) you offer something illegal, counterfeit, dangerous, or prohibited by section 8 of the Terms for Customers;
(b) prescriptions or medical records are being requested, collected or sent through Go Online;
(c) Shoppers, the public or the platform are at risk (fraud, fake Requests, phishing, security attacks, impersonation);
(d) a court, public prosecution or competent authority requires it; or
(e) you gave false information or did not provide documents we asked for under section 2.3. We tell you the reason when we act, unless the law or an authority forbids it.
9.3 Other breaches — notice first. For any other breach of these terms, we tell you what is wrong and give you 14 days to fix it before we suspend or close your account.
9.4 Limits are not suspensions. If you reach a limit (for example the number of products or photos set out in Annex A), only new actions over the limit are blocked, and we tell you why. We never remove existing content or take your shop offline because of a limit.
9.5 We may stop offering Go Online in Egypt, or end these terms for convenience, with at least 30 days' notice. We then refund your unused purchased balance (Annex A, section A6).
9.6 After closure your shop and app go offline and Shoppers can no longer send you Requests. We keep and delete data as the Privacy Policy says, including copies in backups for a limited time and billing records the law requires us to keep. Keep your own copies of anything you need before you close.
9.7 Sections that by their nature should survive closure do so, including sections 4, 10, 11, 12 and 14 and Annexes B and C.
10. Your indemnity
10.1 You will compensate and hold harmless Go Online, its owners, directors, staff and providers against any claim, fine, penalty, loss, damage, cost or expense (including reasonable legal fees) that arises from:
(a) your products, services, prices, deliveries or conduct, or those of your staff and couriers;
(b) any contract between you and a Shopper, including complaints, returns and refunds;
(c) Your Content, including any claim that it breaks someone's intellectual property, image or privacy rights;
(d) your use of Shopper data in breach of Annex B or the law;
(e) your breach of these terms or of any law, licence or professional rule; or
(f) any tax due on your sales.
10.2 We will tell you about the claim promptly, let you take part in the defence at your cost, and not settle it in a way that admits fault on your behalf without your agreement, which you will not refuse without good reason.
10.3 This section applies to the extent the law allows.
11. Limits of our liability
11.1 Go Online is a tool; you run your business. To the extent the law allows:
(a) we are not liable for the products, services, conduct, prices, deliveries or payments of any Merchant or Shopper;
(b) we are not liable for loss of profit, revenue, business, goodwill or data (beyond restoring our latest available backup), or for any indirect or consequential loss;
(c) we are not liable for interruptions or failures caused by events outside our reasonable control, including the failure of providers, networks or power, or acts of government;
(d) our total liability to you for all claims arising in any 12-month period is limited to the higher of the fees you paid us in the three months before the event that gave rise to the claim or EGP 2,000.
11.2 What we do not limit. Nothing in these terms limits or excludes our liability for fraud or gross fault, for death or personal injury caused by us, or any other liability that the law does not allow to be limited or excluded.
12. Governing law, disputes and language
12.1 These terms are governed by the laws of the Arab Republic of Egypt.
12.2 You and we will first try to settle any dispute by writing to each other and talking in good faith for 30 days. If that fails, the Cairo Economic Courts have jurisdiction, or, where they do not, the competent courts of Cairo.
12.3 These terms are written in Arabic and English. If they differ, the Arabic text prevails.
13. Changes to these terms
13.1 We may change these terms, for example when the law, the service or our providers change. Every version has a number and an effective date, and earlier versions stay available on our website.
13.2 For a change that reduces your rights or increases your costs, we notify you by email at least 30 days before it applies, and we ask you to accept the new version before you continue to use the dashboard. Other changes (clearer wording, new features, or changes the law requires sooner) can apply when published.
13.3 If you do not accept a change that reduces your rights or increases your costs, you can close your account before it applies, and we refund your unused purchased balance (Annex A, section A6).
14. General
14.1 Acceptance and records. You accept these terms by ticking the acceptance box when you sign up, or when we ask you to accept a new version. We record which version you accepted, when, and from which account. Electronic records and messages are evidence between us.
14.2 Notices. We send notices to the email of your account. You send notices to [email protected] and, for legal process, to our registered office.
14.3 Force majeure. Neither party is responsible for failing to perform because of events beyond its reasonable control, except your duty to pay fees already due.
14.4 Transfer. You may not transfer these terms without our written agreement. **We may transfer these terms to a company of the SBSuccess group in Egypt, or to a company that takes over the Go Online service in Egypt.** We tell you at least 30 days before, the terms stay the same, and if you do not agree you may close your account without charge and we refund your unused purchased balance.
14.5 Whole agreement, severability, no waiver. These terms, their annexes and the documents they refer to are the whole agreement about Go Online. If a court finds part of them invalid, the rest stays in force and the invalid part is read as close to its purpose as the law allows. Not enforcing a right is not giving it up.
14.6 Independent parties. Nothing in these terms makes us partners, employer and employee, or agents of each other.
Annex A — Fees and balance
A1. Shoppers pay Go Online nothing. These rules apply to Merchants only. The amounts — the fee per Request for each fee tier, the monthly cap, the fair-use ceiling, the welcome gift and the limits — are on our pricing page. Your fee tier follows your business type.
A2. The fee. You pay a fixed fee for each Request you accept (an order, booking, enrolment or accepted quote request; bookings that are accepted automatically count as accepted).
(a) Rejected Requests, and Requests the Shopper cancels before you accept them, cost nothing.
(b) If you cancel an accepted Request before it is marked in progress, its fee goes back to your balance. After that, fees are not returned, including if the Shopper later returns the goods to you.
(c) We may reverse returned fees if cancellations are used to avoid fees.
(d) The fee pays for the use of the platform. It is not a commission on your sales, and we never collect or deduct anything from what Shoppers pay you.
A3. The monthly cap. The fees you pay in one calendar month (Cairo time) never exceed the monthly cap of your tier. In your first month the cap is pro-rated to the days left in the month after your shop first goes live (monthly cap × days left ÷ days in the month), rounded in your favour. The Request that crosses the cap pays only what is left up to the cap. Caps change only on the first day of a month.
A4. Fair use. After the cap, Requests are free up to the fair-use ceiling on the pricing page; beyond it, the normal fee per Request applies again for the rest of that month. We email you when you reach 80% and 100% of the ceiling.
A5. Your balance. Fees are taken from a prepaid balance shown in Egyptian pounds.
(a) Welcome gift: each new business receives the welcome gift shown on the pricing page. It is spent first, has no cash value, cannot be refunded or transferred, and expires 90 days after it is given.
(b) Top-ups: you add money to your balance in advance. Until online payment is available, you pay us by a method we agree with you and we record the top-up by hand. We send you a receipt for a top-up when you ask.
(c) If your balance cannot pay the fee for a new Request, new Requests pause until you top up. Your shop stays online, and Requests you already accepted are not affected. A shop that has reached its monthly cap is never paused for a low balance.
(d) Your balance is a prepaid right to use Go Online. It is not a deposit or a bank account, earns no interest, and cannot be transferred to another business or paid out except as section A6 says.
A6. Refunds of your balance. Unused purchased balance is not refunded, except:
(a) where the law requires a refund;
(b) when we stop offering Go Online in Egypt or end these terms for convenience (section 9.5), when you close your account because you do not accept a change that reduces your rights or increases your costs (section 13.3), or when we transfer these terms and you do not agree (section 14.4);
(c) when you close your account because you object, on reasonable data-protection grounds, to a new sub-processor (Annex B, section B4);
(d) a payment taken twice or by mistake that you report within 60 days. The welcome gift and any promotional amount are never refunded. If we close your account for a breach under section 9.2 or 9.3, unused purchased balance is not refunded unless the law requires it. Refunds are paid by bank transfer, or another method we agree with you, within 30 days.
A7. Limits. We may set limits on the number of products and photos per shop, shown on the pricing page. Section 9.4 applies when you reach them.
A8. Tax. At launch we do not add VAT to service fees. If the law requires us to add tax, we tell you at least 30 days before, unless the law requires it sooner.
A9. Disputes about a charge. The dashboard shows your balance and its recent movements; we send you the full history when you ask. Past entries are never changed: a correction is a new entry. Write to [email protected] within 60 days of the movement you dispute. If we find an error, we correct it with a new entry.
Annex B — Data processing
B1. Roles.
(a) Shopper data means the personal data of Shoppers that reaches you through Go Online: name, phone number, delivery address, the note or message the Shopper adds, first names of class attendees, and the Request itself.
(b) For Shopper data, you are the controller of your own use (fulfilling, delivering and following up the Request, your accounting), and we are your processor for storing it, showing it in your dashboard and notifying you.
(c) We are a separate controller for our own purposes listed in the Privacy Policy (running and securing the platform, preventing fraud and abuse, billing, legal duties). For those purposes the Privacy Policy applies, not this annex. We are also the controller of your account data.
B2. Our duties as processor. We will:
- process Shopper data only to provide Go Online to you as these terms and the product describe; these terms and your use of the dashboard are your instructions, unless the law requires otherwise;
- make sure our staff and contractors with access are bound to confidentiality;
- apply the security measures in section B5;
- use sub-processors only as section B4 says;
- help you, as far as reasonably possible, to answer Shoppers who exercise their rights;
- tell you without undue delay after we become aware of a personal data breach affecting your Shopper data;
- keep and delete Shopper data on the schedule in the Privacy Policy (Requests are made anonymous two years after they close, and copies in locked backups end about 31 days later), also after your account closes;
- give you the information needed to show we keep this annex, through written answers and summaries of our controls. On-site audits are not offered unless the law requires them, and then at your cost and with reasonable notice.
B3. Your duties as controller. You will:
- use Shopper data only to handle the Request it came with and to contact the Shopper about it;
- not sell it, share it with anyone except your couriers for delivery, or use it for advertising or marketing without the Shopper's separate consent;
- keep it secure, including copies outside Go Online (screenshots, notes, phones, messaging apps), and delete those copies when you no longer need them;
- never request or send prescriptions or medical records through Go Online (section 4.6);
- hold any licence or registration data-protection law requires of you as a controller;
- answer Shoppers who contact you about their data;
- tell us at once at [email protected] if you suspect someone accessed your account or Shopper data without permission.
B4. Sub-processors. You authorise us to use the providers listed in the Privacy Policy (hosting, content delivery and storage, backups, logs and email). We publish a change to that list, with its date, in the Privacy Policy **at least 30 days** before a new provider receives Shopper data. If you object on reasonable data-protection grounds, you may close your account and we refund your unused purchased balance (Annex A, section A6). We remain responsible to you for our providers' performance of these duties, within the limits of section 11.
B5. Security measures. Encrypted connections; passwords stored only as one-way hashes; separation enforced by the database itself, so each business sees only its own data; encrypted nightly backups in two places, locked against deletion for 30 days, with the key to read them kept off our servers; access to our servers limited to named administrators; logs at our log service without names, phone numbers, email addresses or street addresses.
B6. Outside Egypt. Shopper data is stored and processed outside Egypt, with the providers and in the places listed in the Privacy Policy. We choose providers that protect it by contract.
B7. Liability. Each party is liable for its own breach of data-protection law and of this annex. The limits of section 11 apply as far as the law allows; they do not limit a party's liability for fines imposed on it for its own breach.
Annex C — Content licence and takedown
C1. Your promise. When you upload a photo, logo or text, you confirm that you made it, own it, or have the owner's permission to use it as this annex describes, and that it breaks no one's copyright, trademark, image, privacy or other right, and no law. Photos of people need those people's permission.
C2. Licence for your shop. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, resize, crop, convert, cache, publish and show Your Content on Go Online — your website and app, the directory, link previews and our content delivery network — while it is published and for the retention periods in the Privacy Policy.
C3. Product photos in the shared catalog.
(a) For product photos, the licence also covers our shared product catalog: after our review, a photo of a product (for example a packaged item with a barcode) can be offered to other businesses on Go Online that sell the same product and shown to their customers. For a photo we have accepted into the shared catalog, the licence is worldwide, non-exclusive and royalty-free, includes the right to adapt the photo (crop, resize, adjust, remove the background) and to let other businesses use it on Go Online, and lasts until the photo is removed under section C6.
(b) We never show which business contributed a shared photo, and no payment is due for it.
(c) If you delete a photo, we stop showing it on your own pages. A photo already in the shared catalog may stay there until we replace it or until you ask us to remove it, which we then do as section C6 says.
(d) If you use a photo from the shared catalog, you are responsible for how your item is shown: the photo must fairly represent what the Shopper receives.
C4. Our rights over content. We may resize, compress, convert or crop content for speed and layout; refuse, hide or remove content that may break the law or our terms; and keep copies as the Privacy Policy says. We do not claim ownership of Your Content.
C5. Notice and takedown.
(a) Anyone who believes content on Go Online breaks their rights or the law can write to [email protected] with the subject "Takedown", giving: their name and contact details, and whether they act for someone else; the link to the page or photo; which right is broken and why; and a statement that the notice is true to the best of their knowledge.
(b) We confirm receipt and aim to review every notice within 5 working days.
(c) If the notice is clear and well-founded, we hide or remove the content and tell the Merchant who published it, without the sender's personal details unless they agree or the law requires.
(d) The Merchant can reply with its reasons and evidence. We may restore the content if the reply is convincing, unless the sender shows us that legal action has started.
(e) We may also remove content on our own initiative if it may break the law or our terms, and we act on orders of courts and competent authorities. We keep a record of notices and what we did. Repeated infringement leads to suspension or closure of the account.
(f) A notice made in bad faith can make its sender liable. We may ignore abusive notices, or notices that repeat a rejected one without new facts.
C6. Removing photo files completely. Hiding a photo from pages does not delete its files, because one file can serve every shop that uses the same photo. **When we receive a deletion request or an accepted takedown notice for a photo, we remove its files from our photo storage and from our recovery copy, every stored version included, within 31 days.**
